Royal Group Phnom Penh SEZ Plc. Held the 10th Annual General Shareholders’ Meeting (AGM) 2026

Phnom Penh, 28 April 2026 – Royal Group Phnom Penh SEZ Plc. successfully convened its 10th Annual General Shareholders’ Meeting (AGM) at Hotel Cambodiana from 2:00 PM to 3:30 PM. The record date for the meeting was set on 30 March 2026.

A total of 34 shareholders attended the meeting, representing 63,973,417 shares, equivalent to 89.4% of the Company’s total share issued of 71,519,647. The Company currently has 5,543 shareholders.

The following are members of the Board of Directors:

1. Neak Oknha Kith Meng Non-Executive Chairman

2. Mr. Mark Hanna, Non-Executive Director

3. Mr. UEMATSU Hiroshi, Executive Director/CEO

4. Mr. Otsubo Hiroshi, Non-Executive Director

5. Mr. Kang Wei Geih, Independent Director

6. Dr. Eakapong Tungsrisanguan, Non-Executive Director

7. Ms. Hep Seka, Independent Director

In the welcoming speech, the Chair of meeting highlighted the Company’s strong financial performance for the year ended 31 December 2025. The Company reported a profit after tax of KHR 32,550,305,000 (equivalent to USD 8,115,260), representing a significant increase compared to KHR 15,786,331,000 (equivalent to USD 3,877,753) recorded in the previous year.

During the meeting, the shareholders approved all the 4 proposed resolutions:

1. The Audited Financial Statements for the year ended 31 December 2025.

2. The re-election and re-appointment of the following Directors for a two-year term from
28 April 2026 to 27 April 2028:

2.1 Neak Oknha Kith Meng as Non-Executive Chairman for a term from 28 April 2026 to
27 April 2028

2.2 Mr. UEMATSU Hiroshi as Executive Director/CEO

2.3 Mr. Hanna William Mark as Non-Executive Director

2.4 Dr. Eakapong Tungsrisanguan as Non-Executive Director

2.5 Ms. Hep Seka as Independent Director

3. The proposed dividend distribution for the financial year 2025.
